How to Register a Charitable Company
As part of our 'NGO Support Services' we assist to register the register the Non Governmental and Non Profitable organization as the charitable company under the Indian Company Act, India.
A company can be established “for promoting commerce, art, science, religion, charity, or any other useful objective,” provided that the profits, if any, or other income are applied solely to further the company's objectives, and no dividends are paid to its members.
Similar to other forms of Non-Governmental Organizations (NGOs), a Charitable Company under the Indian Company Act is also an independent legal entity. Generally, officers are not personally liable for the Company's actions; however, they are accountable in their respective official capacities.
Requirements for Charitable Company
- Trustees: A Section 25 Company requires a minimum of three trustees/directors, with no upper limit on the number of trustees. The Board of Management operates as a Board of Directors or a Managing Committee.
- Two choices for the company's name.
- A list of the names, addresses, and occupations of the promoters.
- A detailed statement of the assets.
- An estimate of the proposed company's future annual income and expenditure.
- A statement providing a brief description of the work.
- DIN (Director Identification Number) for all the Directors.
- DSC (Digital Signature Certificate) for two of the Directors.
- A certificate from the Charity Commissioner.

Estimate Time for Completion
The estimated time for completion depends on the place of registered office. In major cities like Delhi, Mumbai, Bangalore, and Chennai, it typically takes 3-4 Months. Smaller cities may require additional time, while remote areas may experience even longer processing times.
